ABOUT CHINA CAPITAL CORPORATION

PRINCIPAL OBJECTIVES

China Capital Corporation was established to organize and invest in medium-size Chinese enterprises. This was based on the firm belief that:

• the funding of mid-size firms is very important to maintain economic growth in China;
• significant gains can be expected from equity participation in mid-size firms where a more flexible entrepreneurial style of management can be developed and combined with a direct capital investment to accelerate growth; and,
• there is currently little interest within the marketplace to raise capital for businesses of this size.

The Company also undertakes the following functions:

• provide consulting services to foreign and Chinese companies
• provide investment banking type advisory services (e.g., access to capital and know-how, investment analysis, valuation studies, due diligence)
• structure and participate in deals

The Company has been a policy advisor to the Chinese Government with respect to its reform program since 1978. This has allowed the firm to develop deep insight into what is "doable and possible" within the Chinese context as well as to have a practical and cost-effective orientation on behalf of its clients and the Company's investment activities.
